Contract Formation and Order Process

2.1) When you place an order with us, you are making an offer to buy goods. For business customers, we may need to carry out extra checks and approvals before accepting the order.

2.2) You will receive an email confirmation upon receipt of your order to keep you informed throughout the process

2.3) If the goods are unavailable or if there is a pricing error, we will inform you promptly.

2.4) The product images presented on our website are intended solely for illustrative purposes. It is important to acknowledge that the actual products may exhibit slight variations from the images displayed.

2.5) By placing an order, you agree to our Terms and Conditions, Privacy Policy, and Website Use Terms.

Making a Contract

3.1) Placing an order constitutes an offer to purchase. Business orders may require additional approval. You’ll receive an email confirmation once your order is received. We will notify you if goods are unavailable or if there's a pricing error. Product images are for illustrative purposes, and actual products may vary.

3.2) Orders may be placed on our website by selecting the desired products, adding them to your shopping basket, and completing the checkout process 

3.3) Delivery charges are displayed at checkout, allowing you to see the total before you confirm your order. 

3.4) You need to pay in full when you place your order, and we use secure payment options for all transactions.

3.5) Prices are listed in GBP and don’t include VAT for B2B or trade customers unless stated otherwise.

3.6) Promotional prices apply only during the stated promotional period

Delivery and Shipping Costs

4.1) We are not responsible for any delays or failures to meet our obligations caused by events outside our reasonable control, such as natural disasters, strikes, or supplier issues. If this happens, we will inform you and restart our services as soon as possible.

4.2) We normally dispatch orders within 24 to 48 hours, excluding weekends and bank holidays, unless otherwise agreed. If there are any delays, we will notify you by email, SMS, WhatsApp or by phone call.

4.3) Your delivery time will depend on the option you select at checkout.

4.4) Certain products, such as notebook batteries, Heavy batteries or some mobile batteries, are subject to shipping regulations that restrict their delivery to the mainland United Kingdom only. Any such limitations will be explicitly stated in the product description to ensure clarity and compliance.

4.5) It is the buyer’s responsibility to appropriately dispose of the packaging materials.

4.6) Changing your delivery address after the order has been dispatched may incur extra fees.

4.7) Goods should be inspected upon delivery. Consumer customers must report any damage within 14 days of receiving the goods, including photographs of both the packaging and the item. Claims reported after this period may be denied. Business customers must report any damage within 2 days of receipt for a valid claim, including photographs of both the packaging and the item.

4.8) We are not responsible for delivery delays caused by events beyond our control, such as extreme weather, accidents, or supply chain disruptions. We will make reasonable efforts to resolve such issues promptly.

4.9) Customers have the right to cancel their order within 14 days of receiving the goods. To initiate a cancellation, please get in touch via email or written correspondence, providing the relevant order details. We will acknowledge your cancellation request and furnish you with instructions for returning the merchandise. It should be noted that business customers may only cancel orders by mutual agreement, which may be subject to restocking fees and any terms applicable at the time of purchase.

5.0) Consumer customers may cancel their contract within 14 days of delivery by contacting us in writing or by email. Cancellations made by phone will not be accepted. Business customers may only cancel orders by mutual agreement, and cancellations may be subject to restocking fees and the terms provided at the time of purchase.

5.1) Consumer customers must return goods within 14 days of cancellation, in their original condition and packaging, at their own expense. Items must be securely packaged to avoid damage. Business customers must return goods within the timeframe agreed during the cancellation process, in their original condition and packaging, with all return costs to be covered by the business.

5.2) Items that have been installed cannot be returned unless they are defective.

5.3) Refunds will be issued within 30 days. Refunds will include the original delivery costs, minus any deductions permitted under this contract. For business customers, refunds of delivery costs will be determined at the time of cancellation.

5.4) Business customers and those not covered by Distance Selling Regulations may not cancel orders without mutual agreement.

5.5) This policy does not affect your legal statutory rights.


Faulty Goods & Liability

6.1) Under the Consumer Rights Act 2015, you can reject goods within 30 days of receipt for a full refund. After this period goods will be repaired or replaced in accordance with statutory rights. For business customers, repairs or replacements will be in accordance with the terms agreed at purchase. All goods are also covered by our warranty against faulty workmanship in addition to your statutory rights.

6.2 If you think goods are faulty you must notify us in writing or by email with details of the issue, and where possible, a photo. We will deal with the matter in accordance with your statutory rights.

6.3) All products are covered by a warranty against faults in workmanship and materials subject to the warranty’s terms and conditions.

6.4) This warranty is in addition to your legal rights as a consumer. Your statutory rights are not affected.

6.5) If an exchange is required, we will arrange this promptly and free of charge. Replacement goods will only be sent once the original goods have been returned to our warehouse and inspected, unless we decide otherwise at our discretion.

6.6) You are responsible for the cost of returning goods to us. If, upon inspection, the goods are found to be faulty, we will reimburse your reasonable postage costs. If the goods are not faulty, they will be returned to you and you will need to pay our reasonable postage costs.

6.7) If a replacement is required but the item is no longer available, we will supply an alternative product. However, our obligation is to replace the faulty goods, and we cannot guarantee an exact match. In this case, you may choose to have a refund instead.

6.8) If faulty goods are replaced and not returned to us, you are responsible for disposing of the original goods.

6.9) Next Wave Distribution Ltd accepts no responsibility for any damage caused to a device during installation.

7.0) Products sold on our website or via our distribution channel meet the requirements of applicable UK legislation. We cannot guarantee that they comply with legal standards outside the UK.

7.1) We accept no liability for indirect or consequential losses. We strongly advise inspecting goods upon receipt before proceeding with installation or use.

7.2) We are not liable for performance or functionality issues that result from manufacturer or software updates.

Credit Note & Vouchers

8.1) From time to time, at our discretion, we may provide credit as compensation, a refund, or as a goodwill gesture. Credit Note can be used as payment for future purchases on our website.

8.2) Credit Note is non-transferable and may only be used by the customer to whom it was issued.

8.3) Credit Note is valid for 12 months from the date of issue. After this period, any unused balance will expire and no longer be available.

8.4) Credit Note cannot be redeemed for cash.

8.5) We reserve the right to change or withdraw the store credit programme at our discretion, but any credit already issued will not be affected.

8.6) We may issue coupons as part of a promotion, discount, or goodwill gesture. Coupons may only be used as payment on our website and are subject to specific terms, such as expiration dates and minimum purchase requirements. Coupons cannot be exchanged for cash or applied to previous orders.

8.7) Unless otherwise stated, only one coupon may be used per transaction.

8.8) For trade and business customers, coupons are valid only for standard cart transactions. If the quote system or any other discount method is applied, coupons will no longer be valid for that transaction.

8.9) All promotions and coupon use are at the discretion of Replace Base, and we reserve the right to decline the use of coupons on any transaction at any time.

Customer Responsibilities

9.1) You must provide accurate information when placing an order. We are not responsible for any issues or delays resulting from incorrect information supplied by you.

9.2) You are responsible for ensuring that all goods are stored and used in accordance with the instructions provided.

Governing Law & Dispute Resolution

10.2) In the event of a dispute, we encourage you to contact us first so we can attempt to resolve the matter amicably. If a resolution cannot be reached, you may seek alternative dispute resolution or refer the matter to the appropriate court.

B.  Late Payments. If payment is not received within the agreed timeframe, we reserve the right to charge interest on the overdue amount at 5% per annum above the Bank of England base rate.

C.  Debt Collection. In the event of non-payment, we may take legal action or engage a debt collection agency to recover outstanding amounts. Any associated costs will be borne by the debtor.

D.  Set-Off Clause. If you have any outstanding balance with Next Wave Distribution, we may apply any payments made for new orders toward that balance. This may delay or cancel new orders until the outstanding amount is settled. You will be notified if this action is taken.

OEM (Original Equipment Manufacturer) Parts

19.1) OEM parts are identical to those originally incorporated into your device. These components are sourced from the same suppliers as the device manufacturer, though they are not directly purchased from or associated with the manufacturer. They are produced utilising the same equipment, processes, and procedures, ensuring that they adhere to the highest industry standards.


Original Parts

20.1) Whenever possible, these parts are independently verified by manufacturers or authorised service centres. All original parts also undergo in-house testing to ensure quality and performance.

20.2) Our original replacement parts are authentic components procured through reputable channels:

A.  Direct Purchase: Acquired directly from manufacturers.

B.  Authorised Resellers and Service Centres: Sourced through licensed and verified distributors.

C.  Vetted Suppliers: Provided by companies that undergo stringent audits and quality assessments.

20.3) Whenever feasible, these parts are independently verified by manufacturers or authorised service centres. Additionally, all original parts undergo comprehensive in-house testing to ensure their quality and performance.
